End User License Agreement Acuerdo de Licencia de Usuario Final

ULIKME, Inc. ("ULIKME," "we," "us," or "our") grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the ULIKME mobile application (the "App") on any mobile device that you own or control, solely for your personal, non-commercial purposes, in accordance with this EULA.

This license does not include the right to sublicense the App to third parties, or to use the App in any manner not expressly authorized herein. ULIKME reserves all rights not expressly granted to you.

The App is licensed, not sold. This EULA does not convey to you any interest in or to the App, but only a right of use revocable in accordance with the terms of this EULA.

("ULIKME," "nosotros" o "nuestro") le otorga una licencia limitada, no exclusiva, intransferible y revocable para descargar, instalar y utilizar la aplicación móvil ULIKME (la "App") en cualquier dispositivo móvil de su propiedad o bajo su control, exclusivamente para sus fines personales y no comerciales, de conformidad con este EULA.

Esta licencia no incluye el derecho a sublicenciar la App a terceros ni a utilizarla de manera no expresamente autorizada. ULIKME se reserva todos los derechos no expresamente otorgados.

La App está licenciada, no vendida. Este EULA no le transfiere ningún interés en la App, sino únicamente un derecho de uso revocable conforme a los términos aquí establecidos.

You agree not to, and you will not permit others to:

• Copy, modify, or distribute the App or any part thereof;
• Reverse-engineer, disassemble, decompile, or attempt to derive the source code of the App;
• Create derivative works based on the App;
• Sell, resell, sublicense, lease, or transfer the App or your rights under this EULA;
• Use the App to build a competing product or service;
• Remove, alter, or obscure any proprietary notices on the App;
• Use the App for any unlawful purpose or in violation of any regulations;
• Use automated scripts, bots, or scrapers to access or interact with the App;
• Interfere with or disrupt the integrity or performance of the App or servers.

Usted acepta no realizar, ni permitir que terceros realicen, las siguientes acciones:

• Copiar, modificar o distribuir la App o cualquier parte de ella;
• Realizar ingeniería inversa, desensamblar, descompilar o intentar obtener el código fuente de la App;
• Crear obras derivadas basadas en la App;
• Vender, revender, sublicenciar, arrendar o transferir la App o sus derechos bajo este EULA;
• Utilizar la App para desarrollar un producto o servicio competidor;
• Eliminar, alterar u ocultar cualquier aviso de propiedad intelectual de la App;
• Usar la App para fines ilegales o en violación de cualquier normativa;
• Utilizar scripts automatizados, bots o raspadores para acceder a la App;
• Interferir con la integridad o el rendimiento de la App o sus servidores.

To use certain features of the App, you must register for a ULIKME account. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must be at least 18 years of age to create an account and use the App. By creating an account, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into this EULA.

ULIKME reserves the right to suspend or terminate your account at any time for violation of this EULA or for any other reason at its sole discretion.

Para utilizar ciertas funcionalidades de la App, debe registrar una cuenta de ULIKME. Usted se compromete a proporcionar información precisa, actual y completa, y a actualizarla cuando sea necesario. Usted es responsable de mantener la confidencialidad de sus credenciales de acceso y de toda la actividad que ocurra bajo su cuenta.

Debe tener al menos 18 años para crear una cuenta y utilizar la App. Al crear una cuenta, declara y garantiza que cumple con este requisito de edad y que tiene capacidad legal para celebrar este EULA.

ULIKME se reserva el derecho de suspender o cancelar su cuenta en cualquier momento por violación de este EULA o por cualquier otra razón a su entera discreción.

The App allows you to submit, post, and share content including text, photos, videos, and other materials ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant ULIKME a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content solely for the purpose of operating, developing, and improving the App and its services.

You represent and warrant that:

• You own or have the necessary rights to submit the User Content;
• Your User Content does not infringe any third-party intellectual property, privacy, or other rights;
• Your User Content does not contain defamatory, obscene, illegal, or harmful material.

ULIKME reserves the right to remove any User Content at its sole discretion, without notice.

La App le permite enviar, publicar y compartir contenido como textos, fotos, videos y otros materiales ("Contenido del Usuario"). Usted conserva la titularidad de su Contenido del Usuario. Al enviar Contenido del Usuario, otorga a ULIKME una licencia mundial, libre de regalías, no exclusiva y sublicenciable para usar, reproducir, modificar, adaptar, publicar, traducir, distribuir y mostrar su contenido, exclusivamente para operar, desarrollar y mejorar la App y sus servicios.

Usted declara y garantiza que:

• Es propietario o tiene los derechos necesarios para enviar el Contenido del Usuario;
• Su Contenido del Usuario no infringe derechos de propiedad intelectual, privacidad u otros derechos de terceros;
• Su Contenido del Usuario no contiene material difamatorio, obsceno, ilegal o dañino.

ULIKME se reserva el derecho de eliminar cualquier Contenido del Usuario a su entera discreción, sin previo aviso.

Your use of the App is subject to ULIKME's Privacy Policy, which is incorporated into this EULA by reference. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.

We may collect and use technical data about your device, operating system, application software, and usage patterns to facilitate software updates, product support, and service improvements. This data may be shared with third-party service providers who assist in operating the App, subject to confidentiality obligations.

Su uso de la App está sujeto a la Política de Privacidad de ULIKME, la cual se incorpora a este EULA por referencia. Al usar la App, usted consiente la recopilación y uso de su información conforme a dicha Política.

Podemos recopilar y usar datos técnicos sobre su dispositivo, sistema operativo, software y patrones de uso para facilitar actualizaciones, soporte al cliente y mejoras del servicio. Estos datos pueden compartirse con proveedores de servicios terceros bajo obligaciones de confidencialidad.

The App may enable access to third-party services, websites, or content ("External Services"). You agree to use External Services at your sole risk. ULIKME is not responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, or any other aspect of such External Services.

You agree not to use External Services to harass, abuse, stalk, threaten, or defame any person or entity. ULIKME reserves the right to change, suspend, remove, or disable access to any External Services at any time without notice or liability.

La App puede permitir el acceso a servicios, sitios web o contenido de terceros ("Servicios Externos"). Usted acepta utilizar los Servicios Externos bajo su propio riesgo. ULIKME no es responsable de examinar o evaluar el contenido, exactitud, integridad, vigencia, validez ni cualquier otro aspecto de dichos Servicios Externos.

Usted acepta no utilizar los Servicios Externos para acosar, abusar, acechar, amenazar o difamar a ninguna persona o entidad. ULIKME se reserva el derecho de modificar, suspender, eliminar o deshabilitar el acceso a cualquier Servicio Externo en cualquier momento sin previo aviso.

The App may offer in-app purchases, premium features, or subscription plans ("Paid Features"). All purchases are processed through the applicable app store (Apple App Store or Google Play Store) and are subject to that platform's payment terms and refund policies.

Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. You can manage or cancel your subscription through your app store account settings.

ULIKME reserves the right to change pricing at any time. Price changes will be communicated to you with reasonable advance notice.

La App puede ofrecer compras dentro de la aplicación, funciones premium o planes de suscripción ("Funciones de Pago"). Todas las compras se procesan a través de la tienda de aplicaciones correspondiente (App Store de Apple o Google Play Store) y están sujetas a los términos de pago y políticas de reembolso de dicha plataforma.

Las suscripciones se renuevan automáticamente al final de cada período de facturación, salvo que se cancelen al menos 24 horas antes de la fecha de renovación. Puede gestionar o cancelar su suscripción desde la configuración de su cuenta en la tienda de aplicaciones.

ULIKME se reserva el derecho de modificar los precios en cualquier momento, con notificación previa razonable.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE APP IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ANY SERVICES PROVIDED BY ULIKME ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

ULIKME HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE APP AND ANY SERVICES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability;
• Fitness for a particular purpose;
• Accuracy or completeness of information;
• Non-infringement of third-party rights;
• Quiet enjoyment.

No oral or written information or advice given by ULIKME or its representatives shall create a warranty. Some jurisdictions do not allow the exclusion of implied warranties, so the above may not apply to you.

USTED RECONOCE Y ACEPTA EXPRESAMENTE QUE EL USO DE LA APP ES BAJO SU PROPIO RIESGO. EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY APLICABLE, LA APP Y LOS SERVICIOS DE ULIKME SE PROPORCIONAN "TAL CUAL" Y "SEGÚN DISPONIBILIDAD," CON TODOS SUS DEFECTOS Y SIN GARANTÍA DE NINGÚN TIPO.

ULIKME RENUNCIA A TODAS LAS GARANTÍAS Y CONDICIONES RESPECTO A LA APP Y SUS SERVICIOS, YA SEAN EXPRESAS, IMPLÍCITAS O LEGALES, INCLUYENDO SIN LIMITACIÓN:

• Garantías implícitas de comerciabilidad;
• Idoneidad para un fin determinado;
• Exactitud o integridad de la información;
• No infracción de derechos de terceros;
• Uso pacífico.

Ninguna información o consejo oral o escrito proporcionado por ULIKME o sus representantes constituirá una garantía. Algunas jurisdicciones no permiten la exclusión de garantías implícitas, por lo que lo anterior puede no aplicarse a usted.

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL ULIKME BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP.

In no event shall ULIKME's total liability to you for all damages exceed the greater of: (i) the amount you paid for the App in the twelve (12) months preceding the claim, or (ii) fifty U.S. dollars (USD $50.00).

Some jurisdictions do not allow the limitation of liability for personal injury or incidental/consequential damages, so this limitation may not apply to you.

EN LA MEDIDA EN QUE LA LEY LO PERMITA, EN NINGÚN CASO ULIKME SERÁ RESPONSABLE DE DAÑOS INCIDENTALES, ESPECIALES, INDIRECTOS O CONSECUENTES, INCLUYENDO SIN LIMITACIÓN PÉRDIDA DE GANANCIAS, PÉRDIDA DE DATOS, INTERRUPCIÓN DEL NEGOCIO U OTROS DAÑOS COMERCIALES, QUE SURJAN DEL USO O LA IMPOSIBILIDAD DE USO DE LA APP.

En ningún caso la responsabilidad total de ULIKME hacia usted por todos los daños superará el mayor de: (i) el monto que pagó por la App en los doce (12) meses anteriores a la reclamación, o (ii) cincuenta dólares estadounidenses (USD $50.00).

Algunas jurisdicciones no permiten la limitación de responsabilidad por daños personales o daños incidentales/consecuentes, por lo que esta limitación puede no aplicarse a usted.

This EULA is effective until terminated by you or ULIKME. Your rights under this EULA will terminate automatically and without notice if you fail to comply with any of its terms.

Upon termination, you must cease all use of the App and delete all copies from your devices. Sections 4, 8, 9, and 12 of this EULA shall survive any termination.

You may terminate this EULA at any time by deleting the App from your device and ceasing all use.

Este EULA está vigente hasta que sea terminado por usted o por ULIKME. Sus derechos bajo este EULA se extinguirán automáticamente y sin previo aviso si incumple cualquiera de sus términos.

Tras la terminación, deberá cesar todo uso de la App y eliminar todas las copias de sus dispositivos. Las secciones 4, 8, 9 y 12 de este EULA sobrevivirán cualquier terminación.

Puede terminar este EULA en cualquier momento eliminando la App de su dispositivo y cesando todo uso.

You may not use or export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. You represent and warrant that you are not located in any U.S.-embargoed country and are not on any U.S. government restricted-party list, including the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List.

You agree not to use the App for any purpose prohibited by U.S. law, including the development of nuclear, missile, chemical, or biological weapons.

No puede usar ni exportar la App salvo según lo autorizado por la legislación de los Estados Unidos y las leyes de la jurisdicción en la que obtuvo la App. Usted declara y garantiza que no se encuentra en ningún país bajo embargo de EE. UU. y que no figura en ninguna lista de partes restringidas del gobierno de EE. UU., incluyendo la Lista de Nacionales Especialmente Designados del Departamento del Tesoro o la Lista de Personas Denegadas del Departamento de Comercio.

Usted acepta no utilizar la App para ningún propósito prohibido por la ley de EE. UU., incluyendo el desarrollo de armas nucleares, de misiles, químicas o biológicas.

This EULA shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising from this EULA shall be resolved by binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association, except where prohibited by applicable law.

For users in Mexico: Disputes shall be resolved in accordance with Mexican federal law. Both parties agree to submit to the jurisdiction of the competent courts of Mexico City, Federal District (Ciudad de México), waiving any other venue that may correspond to them by reason of their present or future domiciles. This Agreement is subject to the Federal Consumer Protection Law (Ley Federal de Protección al Consumidor) where applicable.

The United Nations Convention on the International Sale of Goods does not apply to this EULA.

Este EULA se regirá e interpretará de conformidad con las leyes del Estado de Florida, Estados Unidos, sin perjuicio de sus disposiciones sobre conflictos de leyes. Cualquier disputa derivada de este EULA se resolverá mediante arbitraje vinculante en el Condado de Miami-Dade, Florida, bajo las reglas de la Asociación Americana de Arbitraje, salvo donde lo prohíba la ley aplicable.

Para usuarios en México: Las disputas se resolverán conforme a la legislación federal mexicana. Ambas partes acuerdan someterse a la jurisdicción de los tribunales competentes de la Ciudad de México, renunciando a cualquier otro fuero que pudiera corresponderles por razón de sus domicilios presentes o futuros. Este Acuerdo está sujeto a la Ley Federal de Protección al Consumidor en lo que resulte aplicable.

La Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías no aplica a este EULA.

If you access the ULIKME App through the Apple App Store, the following Apple Standard End User License Agreement terms also apply. Apps made available through the App Store are licensed, not sold, to you. Your license to the App is granted by ULIKME as the Application Provider.

a. Scope of License. ULIKME grants you a nontransferable license to use the App on any Apple-branded products that you own or control and as permitted by the App Store Usage Rules. You may not distribute or make the App available over a network where it could be used by multiple devices at the same time. You may not transfer, redistribute or sublicense the App. If you sell your Apple Device to a third party, you must remove the App from the device before doing so. You may not copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the App.

b. Consent to Use of Data. You agree that ULIKME may collect and use technical data and related information—including technical information about your device, system and application software, and peripherals—periodically gathered to facilitate software updates, product support, and other services. ULIKME may use this information, in a form that does not personally identify you, to improve its products or to provide services or technologies to you.

c. Termination. This license is effective until terminated by you or ULIKME. Your rights under this license will terminate automatically if you fail to comply with any of its terms.

d. External Services. The App may enable access to ULIKME's and/or third-party services and websites. You agree to use such External Services at your sole risk. ULIKME is not responsible for examining or evaluating the content or accuracy of any third-party External Services and shall not be liable for them. You will not use External Services to harass, abuse, stalk, threaten, or defame any person or entity. ULIKME reserves the right to change, suspend, remove, or disable access to any External Services at any time without notice.

e. No Warranty. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ANY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND ULIKME HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE APP AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NONINFRINGEMENT OF THIRD-PARTY RIGHTS.

f. Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL ULIKME BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP. In no event shall ULIKME's total liability to you for all damages exceed fifty dollars (USD $50.00).

g. Export Controls. You may not use or export the App except as authorized by United States law and the laws of the jurisdiction in which it was obtained. You represent that you are not located in any U.S.-embargoed country and are not on any U.S. government restricted-party list.

h. U.S. Government Rights. The App and related documentation are "Commercial Items" as defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation." Consistent with 48 C.F.R. §12.212, they are licensed to U.S. Government end users only as Commercial Items and with only those rights granted to all other end users.

i. Governing Law. This Agreement and the relationship between you and Apple shall be governed by the laws of the State of California, excluding its conflicts of law provisions. You agree to submit to the jurisdiction of the courts in Santa Clara County, California. If you are a citizen of an EU country, Switzerland, Norway, or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence. The United Nations Convention on the International Sale of Goods does not apply.

Si accede a la App de ULIKME a través de la App Store de Apple, también se aplican los siguientes términos del Acuerdo de Licencia de Usuario Final Estándar de Apple. Las apps disponibles a través de la App Store están licenciadas, no vendidas. Su licencia de la App es otorgada por ULIKME como Proveedor de la Aplicación.

a. Alcance de la Licencia. ULIKME le otorga una licencia intransferible para usar la App en dispositivos de marca Apple que sean de su propiedad o estén bajo su control, según lo permiten las Reglas de Uso de la App Store. No puede distribuir ni hacer disponible la App en una red donde pueda ser usada por múltiples dispositivos simultáneamente. No puede transferir, redistribuir ni sublicenciar la App. Si vende su dispositivo Apple a un tercero, debe eliminar la App antes de hacerlo. No puede copiar (salvo lo permitido), hacer ingeniería inversa, desensamblar, intentar obtener el código fuente, modificar ni crear obras derivadas de la App.

b. Consentimiento para el Uso de Datos. Usted acepta que ULIKME pueda recopilar y usar datos técnicos relacionados con su dispositivo, sistema operativo, software de aplicación y periféricos, recopilados periódicamente para facilitar actualizaciones de software, soporte de productos y otros servicios. ULIKME puede usar esta información, en una forma que no le identifique personalmente, para mejorar sus productos o para proveerle servicios o tecnologías.

c. Terminación. Esta licencia es efectiva hasta que sea terminada por usted o por ULIKME. Sus derechos bajo esta licencia se extinguirán automáticamente si incumple cualquiera de sus términos.

d. Servicios Externos. La App puede permitir el acceso a servicios y sitios web de ULIKME y/o de terceros. Usted acepta utilizar dichos Servicios Externos bajo su propio riesgo. ULIKME no es responsable de examinar ni evaluar el contenido o exactitud de ningún Servicio Externo de terceros. Usted no usará los Servicios Externos para acosar, abusar, acechar, amenazar o difamar a ninguna persona. ULIKME se reserva el derecho de modificar, suspender, eliminar o deshabilitar el acceso a cualquier Servicio Externo en cualquier momento sin previo aviso.

e. Sin Garantías. USTED RECONOCE Y ACEPTA EXPRESAMENTE QUE EL USO DE LA APP ES BAJO SU PROPIO RIESGO. EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY APLICABLE, LA APP Y LOS SERVICIOS SE PROPORCIONAN "TAL CUAL" Y "SEGÚN DISPONIBILIDAD," CON TODOS SUS DEFECTOS Y SIN GARANTÍA DE NINGÚN TIPO, Y ULIKME RENUNCIA A TODAS LAS GARANTÍAS Y CONDICIONES RESPECTO A LA APP Y CUALQUIER SERVICIO, YA SEAN EXPRESAS, IMPLÍCITAS O LEGALES, INCLUYENDO SIN LIMITACIÓN LAS GARANTÍAS IMPLÍCITAS DE COMERCIABILIDAD, CALIDAD SATISFACTORIA, IDONEIDAD PARA UN FIN DETERMINADO, EXACTITUD, USO PACÍFICO Y NO INFRACCIÓN DE DERECHOS DE TERCEROS.

f. Limitación de Responsabilidad. EN LA MEDIDA EN QUE LA LEY LO PERMITA, EN NINGÚN CASO ULIKME SERÁ RESPONSABLE DE LESIONES PERSONALES NI DAÑOS INCIDENTALES, ESPECIALES, INDIRECTOS O CONSECUENTES, INCLUYENDO SIN LIMITACIÓN PÉRDIDA DE GANANCIAS, PÉRDIDA DE DATOS O INTERRUPCIÓN DEL NEGOCIO. EN NINGÚN CASO LA RESPONSABILIDAD TOTAL DE ULIKME SUPERARÁ CINCUENTA DÓLARES (USD $50.00).

g. Control de Exportaciones. No puede usar ni exportar la App salvo según lo autorizado por la ley de Estados Unidos y las leyes de la jurisdicción donde la obtuvo. Usted declara que no se encuentra en ningún país bajo embargo de EE. UU. y que no figura en ninguna lista de partes restringidas del gobierno de EE. UU.

h. Derechos del Gobierno de EE. UU. La App y la documentación relacionada son "Artículos Comerciales" según se define en 48 C.F.R. §2.101. De conformidad con 48 C.F.R. §12.212, se licencian a usuarios finales del Gobierno de EE. UU. únicamente como Artículos Comerciales y con los mismos derechos otorgados a todos los demás usuarios finales.

i. Ley Aplicable. Este Acuerdo y la relación entre usted y Apple se rigen por las leyes del Estado de California, excluyendo sus disposiciones sobre conflictos de leyes. Usted acepta someterse a la jurisdicción de los tribunales del Condado de Santa Clara, California. Si es ciudadano de un país de la UE, Suiza, Noruega o Islandia, la ley aplicable y el foro serán los de su lugar habitual de residencia.
